Directors: The UK Leadership Role That Comes With Real Responsibility
In the UK, being a company director isn’t a fancy title on LinkedIn. It’s a legal role with real responsibility. Directors steer strategy, protect cash, hire and fire, and set the tone, but they also have statutory duties under the Companies Act 2006, including acting in good faith to promote the success of the company.
In real life, that means making decisions with the long term in mind, staying alert to risk, and not sleepwalking into conflicts or “helpful” over commitment. It also means knowing when “I’ll just handle it” has turned you into the bottleneck, and when your own wellbeing has become the hidden cost of progress. It’s important to get all the legal compliance in place and to stay bang up to date.
A director has many responsibilities which include Following the company’s rules, shown in its articles of association, keeping company records and reporting of certain information, Preparation of your annual accounts, Completion of your Company Tax Return, Filing your accounts and your Company Tax Return on time, Setting up policies from a business, HR and marketing standpoint, Telling other shareholders if you might personally benefit from a transaction the company makes, Pay Corporation Tax and VAT, if registered – This is a snapshot of what ‘we’ as Directors have to do.
A Capital D in the word Director stipulates that you have ‘real responsibilities’ from a legal standpoint.
